Terms of Use.

These General Terms of Use govern access to and use of the Silverce Platform and its digital services.

Effective date: to be confirmed

These General Terms of Use govern access to, browsing of and use of the Silverce Platform, as well as, where applicable, the use of the digital services offered by Silverce, including Compartir Hogar (Home Sharing), Silverce Experiences and Shared Plans.

Accessing or using the Silverce Platform means that the User has read, understood and agrees to be bound by these Terms, by the Privacy Policy and, where applicable to the web environment or to the technologies used by Silverce, by the Cookies Policy.

If the User does not agree with these Terms, they must refrain from using the Silverce Platform.

Hereinafter, "Silverce", "we" or "the company".

For the purposes of these Terms, "Silverce Platform" means, jointly, the website silverce.com, the Silverce mobile application and any digital services offered by Silverce.

2. Purpose

These Terms govern the conditions of access to and use of the Silverce Platform by users.

The Silverce Platform allows, among other functionalities:

  • Accessing corporate information, content, digital services and Silverce functionalities.
  • Using the Silverce mobile application.
  • Taking part in services linked to Compartir Hogar (Home Sharing).
  • Discovering, booking or taking part in Silverce Experiences and Shared Plans.
  • Using tools, content, forms, communications or digital spaces enabled by Silverce.

Certain functionalities may be subject to specific conditions, disclosed on the Platform itself, in the App or in the corresponding service description.

3. Access to the website and digital services

Access to the public Silverce website is free, without prejudice to the fact that certain functionalities may require registration, authentication or express acceptance of additional conditions.

In order to use certain services of the Silverce Platform, the User may need to create an account, provide personal information, complete verification processes or accept specific conditions.

The User undertakes to provide truthful, accurate, complete and up-to-date information. Silverce may suspend or cancel access to the account where there are reasonable indications that the information provided is false, inaccurate, incomplete or contrary to these Terms.

The User is responsible for safeguarding their access credentials and for any activity carried out from their account, unless they have informed Silverce of improper or unauthorised use.

4. Permitted use of the Platform

The User undertakes to use the Silverce Platform in accordance with the law, these Terms, good faith, public order and the rights of third parties.

In particular, the User undertakes not to:

  • Use the Platform for unlawful, fraudulent, abusive or unauthorised purposes.
  • Publish or transmit false, misleading, offensive, discriminatory, defamatory, threatening, obscene or unlawful content.
  • Infringe intellectual property, industrial property, privacy, image, honour or any other rights of third parties.
  • Impersonate another person or entity.
  • Interfere with the technical operation of the Platform.
  • Introduce viruses, malware, malicious code or any technology that may damage its own systems or those of third parties.
  • Use the Platform to circumvent payments, bookings, communications or processes that must take place within Silverce.
  • Collect data from other users without authorisation.
  • Reverse engineer, copy, modify, distribute or exploit the Platform without the express authorisation of Silverce.

The User undertakes to provide only content or information that does not infringe the law or the rights of third parties.

Silverce may suspend, block or cancel accounts, content or access where it detects use contrary to these Terms or to applicable regulations.

5. Compartir Hogar (Home Sharing)

5.1.Nature of the service

Compartir Hogar is a Silverce digital service designed to facilitate connections between people interested in cohabitation, accommodation or shared housing solutions.

Silverce acts as a technology platform that facilitates the connection between users interested in offering or finding medium or long term cohabitation or accommodation solutions.

Silverce is not a party to any lease, sublease, right-of-use assignment or any other private agreement that users may enter into with each other. Such an agreement is formalised exclusively between the users, who are responsible for verifying its compliance with applicable regulations.

Silverce does not provide real estate brokerage services or tourist accommodation services. Its role is limited to providing a technology platform for connection, communication, management and, where applicable, booking between users.

Users are solely responsible for complying with local, regional, national or any other regulations applicable to the property, to the use of the home, and to the lease, sublease or legal arrangement they agree upon.

5.2.Users, listings and requests

The Compartir Hogar service may involve, among others:

  • Users offering a home, room or shared living space.
  • Users looking for a home, room or cohabitation solution.
  • Other profiles enabled by Silverce as the service evolves.

Users who publish listings or information about homes must guarantee that:

  • They have sufficient rights to offer the property or space.
  • The information published is truthful, accurate and up to date.
  • Images, descriptions, prices, conditions and availability correspond to reality.
  • The property or space complies with applicable regulations.
  • They do not include external contact details, instructions to bypass the Platform or misleading information.

Users requesting a home, cohabitation or accommodation must guarantee that the information provided about their identity, profile, needs, preferences and relevant circumstances is truthful and up to date.

Silverce may establish affinity, compatibility, recommendation or safety mechanisms to facilitate connections between users, without this constituting a guarantee of success, absolute suitability, absence of risk or any obligation for users to contract with each other.

5.3.Payments

Where Compartir Hogar includes booking, payment, first transfer, service fee, deposit, security deposit or other financial features, such amounts will be shown to the User before confirming the transaction.

Silverce may charge service fees for the use of the Platform, technology management, booking, payment processing, verification, user support or other associated services.

Payments may be processed by specialised external providers, such as Stripe or other payment service providers. The User accepts that such providers may process the information necessary to process payments, prevent fraud and comply with legal obligations.

Silverce will not be liable for errors, incidents or damage attributable exclusively to the payment provider, without prejudice to the obligations that may correspond to Silverce under applicable regulations.

Users are responsible for the taxes, tax obligations, charges, licences or authorisations that may arise from the private agreements entered into between them.

5.4.Cancellations

The cancellation conditions applicable to Compartir Hogar may depend on the type of transaction, the time of cancellation, the service used and the specific conditions accepted by users on the Platform.

Silverce may establish differentiated cancellation policies for:

  • Cancellations by the person offering the accommodation.
  • Cancellations by the requesting person.
  • Cancellations due to compliance incidents.
  • Cancellations due to supervening impossibility, force majeure or justified circumstances.
  • Cancellations decided by Silverce to protect the safety, trust or proper functioning of the Platform.

Where cancellation occurs after the technology management, booking or digital intermediation service has been correctly provided, the Silverce service fee may be non-refundable, unless applicable regulations provide otherwise or Silverce decides to apply an exception in view of the specific circumstances of the case.

Silverce may request supporting documentation to assess incidents, breaches, mitigating circumstances or exceptional cancellation requests.

5.5.User responsibility

Users are responsible for:

  • The truthfulness of the information they provide.
  • The legality of the listings, homes, spaces or conditions offered.
  • Entering into and complying with the private agreements they sign with each other.
  • Cohabitation, use of the home, payments, deposits, security deposits, internal rules or any obligation arising from the private agreement.
  • Compliance with applicable regulations on housing, leases, taxation, data protection, cohabitation and consumer matters.

Silverce does not guarantee the complete absence of conflicts between users, nor does it assume liability for the private agreements entered into between them.

Nevertheless, Silverce may enable support, communication, trust, verification, recommendation, mediation or guidance mechanisms, without this implying that Silverce becomes a party to the private agreement between users.

6. Silverce Experiences and Shared Plans

6.1.Nature of the service

Silverce Experiences and Shared Plans allow users to discover, book or take part in activities, experiences, gatherings, plans, workshops or initiatives published through the Platform.

Silverce acts as a technology platform that allows users to discover, book and take part in experiences, activities or plans offered by third-party organisers or, where applicable, by Silverce when expressly stated.

The involvement of Silverce is limited to facilitating the publication, booking, payment and technology management of the experience, without acting as the material organiser of the activity, unless expressly stated otherwise in the specific experience description.

The agreement relating to the activity is established between the participant and the relevant organiser, unless Silverce is expressly listed as the organiser.

6.2.Bookings and payments

Through the Platform, users may view available experiences, book a place and, where applicable, pay online.

The price of each experience will be indicated before confirming the booking. That price may include:

  • The price of the experience.
  • The Silverce service fee.
  • Booking or registration fee.
  • Applicable taxes.
  • Other items disclosed in the activity description.

Experience prices may be set by the organisers or by Silverce when it acts as organiser or promoter of a specific activity.

The User must carefully review the experience information before confirming the booking, including date, time, location, participation conditions, price, cancellation policy and specific requirements.

6.3.Cancellations

Cancellation conditions may vary for each experience and will be indicated, where applicable, in the specific activity description.

In the absence of specific conditions, the following general policy will apply:

  • If the User cancels more than 72 hours before the start of the activity, they may be entitled to a refund of the experience price, excluding service, registration or booking fees indicated as non-refundable.
  • If the User cancels less than 72 hours in advance or does not attend the activity, they may not be entitled to a refund.
  • If the activity is cancelled by the organiser, the User will be entitled to a refund of the amount paid for the experience, without prejudice to what applies to service fees already provided.
  • If the activity is substantially modified, the User may choose to keep their booking or cancel it under the conditions disclosed.
  • In cases of force majeure, adverse weather conditions, health-related causes, supervening unavailability or other circumstances beyond the organiser's reasonable control, the activity may be rescheduled or cancelled.

The Silverce service fee may be non-refundable where the technology service for managing the booking has been correctly provided, unless applicable regulations provide otherwise or Silverce decides to apply an exception in view of the specific circumstances of the case.

6.4.Responsibility of organisers and participants

The organiser of each experience will be responsible for:

  • The correct execution of the activity.
  • The truthfulness of the information published.
  • Compliance with applicable regulations.
  • The safety and suitability of the activity.
  • The availability of insurance, authorisations, licences or permits where necessary.

The participant will be responsible for:

  • Providing truthful information.
  • Complying with the participation conditions.
  • Following the organiser's reasonable instructions.
  • Acting respectfully towards other participants, organisers and third parties.
  • Refraining from conduct that may endanger the activity, safety or the rights of other people.

Silverce will not be liable for personal or material damage, delays, cancellations, breaches, modifications or incidents attributable to the organiser or to third parties, except where applicable regulations provide otherwise or where Silverce expressly acts as organiser.

7. Intellectual and industrial property

All content on the Silverce Platform, including texts, images, logos, trademarks, designs, software, code, databases, interfaces, graphics, videos, audiovisual content, information architecture, documentation, methodologies, models, systems, trade names and any other protectable elements, is owned by Silverce or by third parties who have authorised its use.

Access to the Platform does not grant the User any intellectual or industrial property rights over such content.

It is prohibited to copy, reproduce, distribute, publicly communicate, transform, modify, extract, reuse, exploit or use Silverce content without the express written authorisation of Silverce or the relevant owner.

Where the User publishes or provides content on the Platform, they guarantee that they hold the necessary rights to do so and grant Silverce a non-exclusive, royalty-free, worldwide licence, for the time required, to use such content for the purpose of providing, operating, improving, promoting or protecting the Platform, always in accordance with applicable regulations and the Privacy Policy.

8. Silverce's liability

Silverce makes reasonable efforts to keep the Platform available, secure and operational. However, it does not guarantee that access will be uninterrupted, error-free or permanently available.

Silverce may temporarily suspend access for technical, maintenance, security, update, force majeure or any other reasonable cause.

To the extent permitted by law, Silverce will not be liable for:

  • Interruption or unavailability of the Platform.
  • Technical errors, connection failures or incidents outside Silverce's control.
  • Improper use of the Platform by users.
  • The lack of truthfulness, accuracy or currency of information provided by users or third parties.
  • Private agreements entered into between users.
  • The material execution of experiences or activities organised by third parties.
  • Damage arising from third-party content, links or services.
  • Indirect losses, loss of profit, loss of data, reputation, opportunities, revenue or benefits, unless applicable regulations provide otherwise.

Nothing in these Terms limits or excludes Silverce's liability where such limitation or exclusion is not permitted by applicable regulations.

9. Data protection

Silverce will process users' personal data in accordance with its Privacy Policy.

The User can consult the Privacy Policy.

The Privacy Policy provides information about, among other matters:

  • Data controller.
  • Personal data processed.
  • Purposes of processing.
  • Legal bases.
  • Data retention.
  • Recipients.
  • International transfers.
  • User rights.
  • Contact channels.

Use of the website may be subject to the Cookies Policy in force at any given time.

In the case of the mobile application, Silverce may use similar technologies, such as SDKs, device identifiers or technical tools necessary for the operation, security and improvement of the service, all in accordance with the Privacy Policy.

10. External links

The Silverce Platform may include links to third-party websites, platforms, content or services.

Silverce does not control such external sites or services and will not be responsible for their content, availability, terms of use, privacy policies, cookies, security or practices.

The inclusion of external links does not imply that Silverce recommends, endorses or assumes responsibility for such content or services.

The User should review the legal terms and privacy policies of third parties before using them.

11. Modifications

Silverce may modify these Terms where necessary to adapt them to legal, technical, operational, commercial or service changes.

Where changes are significant, Silverce may inform users by notice on the website, in the App, by email or by any other reasonable means.

The version in force will be the one published on the Platform at any given time.

Continued use of the Platform after changes are published will imply acceptance of the new version, unless applicable regulations require express acceptance.

12. Governing law and dispute resolution

These Terms are governed by Spanish law.

Where the User is a consumer, any dispute will be submitted to the courts having jurisdiction under applicable consumer protection regulations.

In all other cases, the parties submit to the courts of Madrid, unless applicable regulations establish another mandatory jurisdiction.

Before taking any legal action, Silverce will endeavour to resolve any incident or conflict amicably, quickly and efficiently. To this end, the User may contact Silverce at info@silverce.com.

Where applicable, consumer Users may resort to alternative dispute resolution mechanisms provided for by current regulations.
